1. Services ProvidedSMARTED LTD provides Voice over IP (VOIP) services, including inbound international phone numbers (origination) and outbound voice services (termination) over a standard public internet connection.
Services may be requested through the Client Portal at
https://smarted-global.com or via email. By using our services, you consent to electronic communications for requests, recordkeeping, and notifications.
2. Fees and Payments- Services must be prepaid according to the Service Tariff provided to you.
- Your account balance must remain above zero to avoid suspension.
- Fees are payable in EUR or USD (excluding VAT, unless applicable).
- Bank charges and taxes in your jurisdiction are your responsibility.
- SMARTED reserves the right to adjust pricing with at least five (5) days’ prior notice.
3. Use of ServicesYou agree to use the services only for lawful purposes and in compliance with all applicable regulations. Prohibited activities include (but are not limited to):
- Transmitting unlawful or fraudulent content or calls.
- Attempting to interfere with or compromise SMARTED’s systems or networks.
- Unauthorized resale or misuse of services.
SMARTED may monitor usage to ensure compliance with applicable laws and these Terms.
4. Service Availability & Limitations- Services are provided on an “as is” and “as available” basis.
- While we strive for uninterrupted service, SMARTED does not guarantee that services will be error-free or fault-free.
- SMARTED is not liable for issues caused by third-party telecommunications providers, carriers, or Client-owned equipment.
5. Suspension & TerminationSMARTED may suspend or terminate services if:
- You fail to maintain a positive account balance or delay payments.
- You breach these Terms or misuse the services.
- Suspension is required by law, regulation, or technical necessity.
Clients may terminate services at any time with thirty (30) days’ written notice. Upon termination, SMARTED will refund any remaining balances after deducting applicable fees.
6. Liability & Disclaimer- SMARTED is not responsible for indirect, incidental, or consequential damages, including loss of profits, revenue, or data.
- Total liability shall not exceed EUR 10,000 within any twelve (12) month period.
- You are responsible for securing your own systems, equipment, and networks against unauthorized use or fraud.
7. ConfidentialityBoth parties agree to protect confidential business and technical information shared during the provision of services.
8. Data ProtectionSMARTED complies with applicable data protection laws, including the General Data Protection Regulation (GDPR), where applicable. Personal data will only be processed as necessary to provide services, prevent fraud, and comply with legal requirements. For more details, please see our Privacy Policy.
9. Intellectual PropertyAll intellectual property rights, trademarks, and service marks related to SMARTED’s services remain the exclusive property of SMARTED LTD.
10. Fraud PreventionYou are fully responsible for securing your systems and preventing fraudulent use of services. SMARTED is not liable for costs incurred from fraudulent activity due to negligence or misuse on the Client side.
11. Force MajeureSMARTED shall not be held responsible for service failures caused by circumstances beyond our reasonable control (including but not limited to natural disasters, wars, strikes, hacker attacks, or government regulations).
12. Governing Law & Dispute ResolutionThese Terms shall be governed by the laws of the Republic of Cyprus. Any disputes will first be attempted to be resolved amicably. If resolution is not possible, disputes shall be settled through arbitration in Cyprus.
13. Changes to TermsSMARTED may update these Terms & Conditions from time to time. Clients will be notified in advance of significant changes. Continued use of services after changes take effect constitutes acceptance of the updated Terms.
